Virginia investor James Hayes accused Gillette and its directors of breaching their fiduciary duties to shareholders by buying back Revlon’s Gillette holdings for $59.50 per share rather than accept Revlon’s $65-per-share takeover offer. The suit seeks to rescind the stock purchase. Gillette had no comment on the suit.
