Southern Pacific Transportation Co., San Francisco, elected a new board of directors, including nine outside directors.
The company has been operating under a voting trust while the Interstate Commerce Commission considers the proposed merger of the SP with Santa Fe Railway Co.
The trustee, LaSalle National Bank of Chicago, said it concluded that the SP “would benefit by having outside directors as members of the board, particularly in recognition of the ICC’s concern for the preservation of the company’s independence under the voting trust.”
The new outside directors are: Paul L. Davies Jr., partner in the San Francisco law firm of Pillsbury, Madison & Sutro; Robert A. Helman, partner in the Chicago law firm of Mayer, Brown & Platt; Homer J. Livingston Jr., president and CEO of LaSalle National Bank; Charles A. Lynch, chairman and CEO of DHL Airways Inc., Redwood City; Louis W. Menk, retired chairman and CEO of Burlington Northern Inc.; former Illinois Gov. Richard B. Ogilvie; former Arizona Rep. Eldon Rudd; William Swindells Jr., chairman, president and CEO of Willamette Industries, Portland; and Robert K. Wilmouth, president and CEO, National Futures Assn., Chicago.
Re-elected to the board were Denman K. McNear, chairman, president and CEO of Southern Pacific Transportation, and D. Michael Mohan, executive vice president of the company.
