A Delaware Court denied a request by Shamrock Holdings to require Polaroid Corp. to give five days’ notice before buying stock as part of a $1.1-billion stock repurchase plan. Shamrock, a Burbank investment firm that is offering $3 billion for Polaroid, is suing to stop the company from going through with the financial restructuring, which also includes selling $300 million in preferred stock to a friendly investment fund. Separately, Polaroid sued Shamrock in U.S. District Court in Boston, alleging that the firm violated federal laws by soliciting proxies for the Cambridge, Mass., instant photography company’s annual meeting in May without filing proper documents with the SEC.
