* ARV Assisted Living Inc., Costa Mesa operator of assisted-living facilities, reported that second-quarter net income fell to $797,000, or 5 cents a share, from $12.8 million, or 73 cents a share, a year ago, with gains from retiring debts accounting for much of the difference. The company recorded a $1.6 million gain in the recent quarter and a $15 million gain a year earlier from retiring debt early. Revenue increased 3% to $35.9 million.

* Micro General Corp., a Santa Ana provider of production and work-flow software systems for the real estate title and escrow industries, said net income for the second quarter totaled $2.6 million, or 18 cents a share, up from $8,200 a year ago. Revenue rose 10% to $32.5 million.

* Capco Energy Inc. in Orange appointed Tommy Berry chief executive officer for its wholly owned subsidiary, Meteor Marketing Inc. Berry was formerly vice president of marketing for Total Petroleum Inc. and a petroleum industry consultant for Price Waterhouse Coopers LLP.

* IPNet Solutions Inc. in Newport Beach appointed Claudia C. Johnson chief operating officer. She was president and chief executive at Mycom North America.

* Alan E. Ross has joined the board of directors of TransDimension in Irvine. Ross was president of Rockwell International’s telecommunications division, now Conexant Systems. He serves on the board of Broadcom Corp. and as chairman of the board of Artest in Sunnyvale.
