Four to Leave Computer Associates Board

Computer Associates International Inc. said three board members, including the chairman of the New York Stock Exchange, are leaving because of new corporate rules that limit how long they can serve. A fourth board member is leaving because of other business commitments.

The four new members will replace Richard Grasso of the New York Stock Exchange; Shirley Strum Kenny; Roel Pieper and Willem De Vogel. Grasso, Kenny and De Vogel are leaving because of the new term limits, Computer Associates said, and Pieper, a venture capitalist and a member since 1999, will not seek reelection.

The new board members--who include Kenneth Cron, chief executive of the games division of Vivendi Universal of France, and Thomas Wyman, a former chairman and chief executive of CBS Inc.--will have to stand for election at the company’s annual meeting on Aug. 28.

The other new members are Robert La Blanc, former vice chairman of Continental Telecom Corp., and Alex Serge Vieux, a technology and software entrepreneur.

Shares of Computer Associates were up 19 cents at $13.32 on the New York Stock Exchange.
